LIVA wants to expand from Berlin

LIVA, an insurance broker specializing in mergers and acquisitions (M&A), is expanding. The company, which is based in London and has a branch in Düsseldorf, is setting up a new location in Berlin from which it will manage its continental European business in the future. Johannes Jacob (44), a lawyer with extensive experience in M&A transactions, will establish LIVA's European headquarters as Head of Germany from December 1, 2022.

Berlin. LIVA, the insurance broker specializing in mergers and acquisitions (M&A) insurance, is expanding. The company, which is based in London and has a branch in Düsseldorf, is creating a new location in Berlin from which it will manage its continental European business in the future. As of December 1, 2022, the lawyer Johannes Jacob (44), who is well-versed in M&A transactions, will establish the LIVA European headquarters as Head of Germany.

Most recently, Johannes Jacob advised clients on all matters relating to takeovers and private equity investments as an associated partner in the Berlin-based law firm LJRR mbB, which specializes in M&A transactions. His focus was on medium-sized companies and investors who are primarily active in the renewable energy, real estate, automotive and software sectors. Before his career as a lawyer, Johannes Jacob was managing director of a German project developer and plant constructor that builds wind and solar power plants. He worked for the company in South America for several years.

Berlin is the ideal location from the point of view of LIVA's managing director Clemens Küppers to expand LIVA's specialized insurance brokerage business. The city is one of the most important places for new technology companies and attracts a correspondingly large number of venture capitalists. In this environment, the protection of M&A transactions via warranty and indemnity policies (W&I) plays a major role. Clemens Küppers: “We want to benefit from this Berlin momentum.”

“Our goal is to develop LIVA into the leading provider of W&I insurance in Germany within the next two years,” says Johannes Jacob, picking up the thread. The commercial lawyer has extensive experience in handling the legally complex M&A transactions and, from his own client work, is aware of the importance of W&I policies.

As a highly specialized provider with many years of experience, LIVA is ideally positioned for further expansion in the German and continental European markets. In the Ecclesia Group, LIVA has a partner at its side that has a wide-ranging network of contacts. Ecclesia has a shareholding in LIVA.

In transactions, warranty and indemnity insurance is used to cover losses due to unknown risks that were not disclosed by the seller in the disclosure process or identified by the buyer in its due diligence. “In the US, W&I insurance is used in more than 60 percent of all transactions. In Germany, there is still a lot of room for improvement,” explains Johannes Jacob. “However, W&I insurance can be a real deal accelerator, especially in a market environment characterized by uncertainty.” Clemens Küppers: ‘As in London, we are also committed to having the expertise for M&A transactions in-house in Germany. To this end, we will be hiring more specialists.’ In addition, LIVA's management is already planning to expand into Eastern Europe.
